Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and bemyfriends, Inc., a corporation organized under the laws of the United States ("bemyfriends," "we," "us," or "our"), governing your access to and use of Fansim — an AI synthetic-fan-agent fandom-intelligence and simulation platform available at fansim.ai (the "Service"). By creating an account, clicking to accept, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility & Accounts

You must be at least 13 years old to use the Service, and at least 18 years old (or the age of majority in your jurisdiction) to purchase a subscription or tokens. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" includes that organization.

You are responsible for your account credentials and for all activity under your account and workspace. Notify us promptly of any unauthorized use. You must provide accurate registration information and keep it current.

2. The Service; AI-Generated Output

Fansim generates synthetic "fan agents," simulations, analyses, and other content using artificial-intelligence models, statistical techniques, and publicly available signals. All outputs — including segments, agents, simulation results, reaction tests, focus-group responses, analyses, and recommendations — are synthetic, probabilistic estimates ("Outputs"). Outputs are not statements of fact, do not represent real individuals, and may be inaccurate, incomplete, or biased.

Outputs are provided for informational and research purposes only. They are not professional, financial, legal, or marketing advice. You are solely responsible for decisions you make and actions you take based on Outputs. bemyfriends does not warrant any particular business result, and accepts no liability for decisions made in reliance on Outputs.

We may modify, add, or discontinue features of the Service at any time. Material changes that adversely affect paid features will be communicated reasonably in advance where practicable.

3. Subscriptions, Tokens & Billing

Paid plans are offered on a monthly or annual auto-renewing basis. Payments are processed by Stripe, Inc.; we do not store full payment-card numbers. By subscribing, you authorize recurring charges to your payment method at the then-current rate until you cancel. Prices are stated in U.S. dollars and exclude applicable taxes, which you are responsible for.

Cancellation: you may cancel a subscription at any time from the Subscription page. Cancellation takes effect at the end of the current billing period — your plan stays active until that date, and no further renewal is charged. EXCEPT WHERE REQUIRED BY LAW, ALL PAYMENTS ARE FINAL AND NON-REFUNDABLE, including for partial periods, unused tokens, or downgrades.

Tokens: the Service meters certain features in prepaid usage credits ("tokens"). Plan allowances are credited each billing cycle, and additional token packages may be purchased one-time. Tokens do not expire, accumulate across cycles, have no cash or monetary value, are non-transferable and non-refundable, and may only be used inside the Service. Token costs per feature, plan allowances, and pricing may change prospectively; changes do not affect tokens already credited.

Referral program: we may offer bonus tokens for inviting new users. Referral rewards are promotional, may be modified or withdrawn at any time, and may be revoked in cases of fraud, self-referral, or abuse (e.g., fake accounts).

If a charge fails or a payment is reversed, we may suspend or downgrade the affected workspace after reasonable notice.

4. Acceptable Use

You agree not to: (a) use the Service in violation of applicable law; (b) infringe the intellectual-property, publicity, or privacy rights of others, including by uploading content you lack rights to; (c) attempt to probe, scan, breach, or test the vulnerability of the Service or circumvent authentication, rate limits, or token metering; (d) use the Service to generate or distribute unlawful, defamatory, or deceptive material, or to harass real individuals; (e) misrepresent Outputs as the actual statements, opinions, or conduct of real people; (f) resell, sublicense, or provide the Service to third parties except as permitted by your plan; (g) use automated means to scrape the Service; or (h) use the Service to develop a competing product.

We may investigate violations and may suspend or terminate accounts that violate these Terms, with or without notice, in addition to any other remedies available to us.

5. Your Content & License

You retain all rights to the content you upload or submit to the Service — including fandom descriptions, channels, documents, knowledge-base materials, images, and prompts ("Customer Content"). You grant bemyfriends a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and modify Customer Content solely to operate, provide, secure, and improve the Service, including processing through the third-party AI providers described in Section 7.

You represent and warrant that you have all rights necessary to upload Customer Content and that it does not violate law or third-party rights. We may remove content that we reasonably believe violates these Terms or applicable law.

As between the parties and to the extent permitted by law, you own the Outputs generated for your workspace, subject to the limitations in Section 2 and the rights of the underlying AI providers. Outputs may not be unique to you.

6. Our Intellectual Property

The Service — including software, models, designs, interfaces, trademarks (including "Fansim"), and all related intellectual property — is owned by bemyfriends, Inc. or its licensors. Except for the limited right to use the Service per these Terms, no rights are granted to you. Feedback you provide may be used by us without restriction or obligation.

7. Third-Party Services

The Service relies on third-party providers, including AI model providers (such as Anthropic, Google, OpenAI, and MiniMax), web-search providers (Exa), payment processing (Stripe), email delivery (Resend), and cloud infrastructure (Vercel, Supabase/AWS). Customer Content needed to fulfill your requests may be processed by these providers as described in our Privacy Policy. Their services are subject to their own terms, and we are not responsible for third-party services we do not control.

YouTube API Services: certain features use YouTube API Services to access public YouTube data. By using those features, you also agree to be bound by the YouTube Terms of Service (https://www.youtube.com/t/terms). Google’s handling of data is described in the Google Privacy Policy (https://policies.google.com/privacy). Our Privacy Policy explains exactly what YouTube data we access, how we use it, and our storage and deletion practices.

8. Privacy

Our collection and use of personal information is described in our Privacy Policy at fansim.ai/privacy, which is incorporated into these Terms by reference.

9. Copyright Complaints (DMCA)

If you believe content on the Service infringes your copyright, send a notice compliant with 17 U.S.C. § 512 (DMCA) to us via the contact page, including: identification of the work, the allegedly infringing material and its location, your contact information, a good-faith statement, a statement of accuracy under penalty of perjury, and your physical or electronic signature. We may remove allegedly infringing material and may terminate repeat infringers.

10. Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED AVAILABILITY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) BEMYFRIENDS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL; AND (B) OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED U.S. DOLLARS (US $100) IF YOU HAVE PAID NOTHING. THESE LIMITS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

12. Indemnification

You will defend, indemnify, and hold harmless bemyfriends, Inc. and its officers, directors, employees, and agents from and against claims, damages, and expenses (including reasonable attorneys’ fees) arising out of your Customer Content, your use of the Service in violation of these Terms or applicable law, or your violation of third-party rights.

13. Term, Suspension & Termination

These Terms apply for as long as you use the Service. You may stop using the Service and delete your account at any time. We may suspend or terminate your access for breach of these Terms, suspected fraud or abuse, non-payment, legal requirement, or risk to the Service or other users. Upon termination, your right to use the Service ends; Sections 2, 5–6, and 10–16 survive. Unused tokens are forfeited upon account termination for breach; otherwise, tokens remain usable while your account exists.

14. Governing Law; Dispute Resolution; Arbitration

These Terms are governed by the laws of the State of Delaware, U.S.A., excluding its conflict-of-laws rules, and, where applicable, the U.S. Federal Arbitration Act.

Informal resolution first: before filing a claim, you agree to contact us and attempt in good faith to resolve the dispute within 30 days.

Binding arbitration: any dispute arising out of or relating to these Terms or the Service that is not resolved informally will be finally resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its rules, in English. Judgment may be entered in any court of competent jurisdiction. Either party may instead bring an individual claim in small-claims court, and either party may seek injunctive relief for intellectual-property misuse in court.

CLASS-ACTION WAIVER: DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY. NEITHER PARTY MAY PARTICIPATE IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Opt-out: you may opt out of this arbitration agreement by contacting us within 30 days of first accepting these Terms.

For any dispute not subject to arbitration, the state and federal courts located in Delaware will have exclusive jurisdiction, and you consent to personal jurisdiction there.

15. Export & Sanctions

You may not use the Service in violation of U.S. export-control or sanctions laws, and you represent that you are not located in an embargoed country and are not on any U.S. government restricted-party list.

16. Changes to These Terms; Miscellaneous

We may update these Terms from time to time. Material changes will be notified via the Service or email at least 14 days before taking effect; continued use after the effective date constitutes acceptance. The then-current Terms are always available at fansim.ai/terms.

These Terms (with the Privacy Policy) are the entire agreement between you and bemyfriends regarding the Service. If any provision is found unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to you may be provided via the Service or your registered email.
